Art. 1

These terms and conditions are applicable to all sales and services performed by the Fournier-Majoie Foundation for Innovation. Clients are deemed to expressly and formally accept these terms and conditions. They shall remain applicable even in the event of a conflict with the client’s general or specific terms of purchase unless the Fournier-Majoie Foundation for Innovation expressly accepts such terms of purchase in writing.

Art. 2

All our invoices, meaning the statement of fees and costs are payable at 30 days from the date of the invoice.

Art. 3

A monthly interest rate of 1% shall accrue ipso jure and without notice on each invoice that is overdue, for the mere reason that the payment term of 30 days end of the month of the issuance of the invoice has expired. Furthermore, compensation equivalent to 10% of the amount of the invoice, with a minimum of €125, shall be charged on each overdue invoice to cover recovery fees, notwithstanding any other interest on account of late payment and legal expenses and without prejudice to any other rights or compensation claimable by the Fournier-Majoie Foundation for Innovation.

Art. 4

The services that the Fournier-Majoie Foundation for Innovation undertakes to provide consist of the resources and commitments and shall not be construed as performance obligations unless expressly agreed otherwise in the cooperation agreement.

Art. 5

Any dispute shall be notified to Fournier-Majoie Foundation for Innovation by registered letter with a clear justification within 8 days from receipt of the invoice.

Art. 6

Contractor liability may only be invoked for the application of the law in force at the time that the services are rendered.

Art. 7

Any dispute in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of Leuven.

Art. 8

Belgian law governs this Agreement. Any provision of the Agreement found contrary to law shall be deemed not to exist.
