The present general terms and conditions apply to all sales and services performed by Foundation Fournier-Majoie for innovation. They are considered to be formally and explicitly accepted by its clientele. They remain in force, even if they contradict the customer's general or special terms and conditions of purchase, unless Foundation Fournier-Majoie for innovation explicitly accepts these latter terms and conditions in writing.
All of our invoices, i.e. the statements of fees and costs, are payable 30 days after the invoice date.
Interest owed on each unpaid invoice will amount to 1% of the invoice amount per month, legally and without reminder, due merely to expiry of the deadline of 30 days after the end of the month of the invoice date. Moreover, damage compensation will be owed for each unpaid invoice, legally and without reminder, of 10% of the invoice amount with a minimum of € 125 to cover collection costs, without prejudice to the interest penalty and legal costs, and without prejudice to all other rights and damages in favour of Foundation Fournier-Majoie for innovation.
The services to which Foundation Fournier-Majoie for innovation is committing itself imply an obligation of means, and may never be considered as an obligation of result, unless explicitly agreed upon otherwise in the cooperation agreement.
Any dispute of the invoice must be communicated by registered letter to Foundation Fournier-Majoie for innovation within 8 days after receipt of the invoice, and must contain clear justification for the action taken.
Liability on the part of the contractor may only be invoked for the application of laws in force on the day the services were performed.
In the case of a dispute, only the courts and courts of appeal of Leuven have jurisdiction. Art. 8 Belgian law is applicable to this agreement. Any provisions of the agreement that would violate the law are considered not to exist.
